Accredited Private Investment

We believe that most investments that are sold to retail investors in the institutionally dominated Canadian investment and financial marketplace have a number of significant drawbacks that undermine their long term performance. They are typically overly expensive, structured in a manner that is advantageous to the offering institutions, investment managers and sales people, and do not appropriately align investment manager incentives to investor return objectives and risk. Many of our most sophisticated clients have come to the same conclusion.

This view about the majority of available investment opportunity, along with the ongoing need to invest our proprietary surplus capital, leads us to regularly seek quality private investment opportunities that provide superior risk-adjusted returns. We are active, opportunistic, accredited private investors with expertise in a range of asset classes – from operating businesses in multiple industries, asset-secured debt, commercial financing transactions, corporate notes, development land, and income producing real estate.

Accredited investors are a relatively select group in Canada; however, an overwhelming majority of our clients are accredited under categories specified by provincial securities regulation. As a typical example, in British Columbia, the following parties qualify as Accredited Investors:

  • individuals who have at least $1 million in financial assets (cash and securities) before taxes. (In calculating an individual's financial assets, any outstanding loans incurred to acquire those assets must be deducted.)
  • individuals whose net income before taxes exceeds $200,000 (or $300,000 combined income with spouse) in each of the two most recent years and who reasonably expects to exceed that net income in the current year
  • individuals who have at least $5 million in net assets
  • corporations, limited partnerships, trusts or estates having net assets of at least $5 million
  • financial institutions
  • registered advisers or dealers
  • pension funds
  • mutual funds selling only under a prospectus or to accredited investors or persons buying at least $150,000 of securities
