We offer business owners flexible succession options, where we purchase a minority or majority stake, and opportunities for continued involvement in the company. Unlike most private equity funds, we have a buy, grow and hold strategy. We wish to own businesses for the long term, ideally forever, with business partners who share a similar philosophy.
We see the entrepreneur who entrusts his or her business to us as our business partner. We promise to steward their business as best we can, and we invite them to co-invest in other opportunities with us. Our goal is to make you more, after we close, than what was made in the deal itself.
We provide privately-held business owners equity to fund succession or growth opportunities. We look for businesses that have:
- Honest, capable and hardworking management.
- Established and consistent cash flow.
- Durable competitive advantages.
- Identifiable and compelling growth opportunities.
- A reasonable valuation.
We focus on companies with EBITDA of $1 million to $7 million, and revenues between $5 million and $50 million, though we are flexible for the right opportunities.
Our core industry focus includes industrial manufacturing, consumer products, technology enabled services, warehousing/distribution, real estate and financial services. However, we are open to opportunities in other industries. We do not invest in start-ups, resource-driven businesses or cutting-edge technologies.
Where a company needs capital for growth, a shareholder buy-out, or for a limited timeframe, we provide mezzanine debt financing. Mezzanine debt is a mix of debt and equity. Our mezzanine financing model has been built to suit growing companies, succession events, and opportunistic situations that seek funding above $2 million.
We have a decidedly non-institutional approach, allowing us to think outside-the-box on structuring deals. We are not rule-bound, so we can create solutions that make sense for everyone, sharing both risks and rewards. These may include flexible repayment and structure, in return for interest, deferred, or equity returns.
Inherent in every deal that we do is our overall values alignment. Our intent is to add value beyond just capital requirements. We provide value through relationships.

Fabio is presently the Chairman & CEO of FABAN Ventures Ltd., a private advisory and investment firm based in Vancouver, B.C. He has over two decades of executive leadership experience in building both private and publicly listed companies, with strong strategic, corporate governance and capital markets expertise. He most recently served as the President & CEO of PEER 1 Hosting, a global provider of managed datacenter and cloud services. PEER 1 was recently acquired by Cogeco Cable in an all-cash transaction valued at C$650 million.
Fabio graduated from the University of British Columbia with a Bachelor of Applied Science degree and from McGill University with a Master of Business Administration degree. He is also a CFA charterholder.
Outside of the office, you will find Fabio indulging his passion for road cycling, orchards and vineyards, and family life in the outdoors with his wife and three children. In addition, Fabio is a director of the Fulmer Foundation and actively involved in supporting the needs of the Vancouver Food Bank.
Known as a leading mid-market M&A legal advisor in British Columbia, Peter Mogan, founder and senior partner of Mogan Daniels Slager LLP, has over 39 years of experience as a lawyer specializing in commercial transactions with an emphasis on mid-market transactions. Peter has been called to both the Ontario and B.C. bars and has practiced in large national firm, mid-sized firm and small firm settings. In the past five years, Peter has been lead lawyer in over $3 billion of business sales, purchases and financings. Between 2010 and 2017, Peter represented six of the fourteen winners of the “Dealmaker of the Year” award for British Columbia awarded by the Association for Corporate Growth. As a commercial lawyer, he has worked closely with his business clients in a wide variety of tasks from business formation through financings, mergers and acquisitions, contract negotiations, international trade, dealings with government, tax planning and securities compliance.
Peter's experience as an entrepreneur has led to an approach that is practical: finding legal solutions that make business sense. This practical, entrepreneurial approach, combined with a very relational style, is brought to business negotiations. He currently serves as a director or advisor to the boards of several BC companies as well as a number of charities. He was founder Global Women, a new social enterprise targeting poverty alleviation in the Developing World through trade. Skiing, cycling, movies and reading round out Peter's primary interests.
Adrian has several roles at Promerita where he serves as the Senior Advisor to the CEO and is also a member or chairperson for several of our corporate committees. Adrian has over three decades of experience as a senior finance executive and international banker to a number of the world’s most prominent business families and corporate groups. Prior to joining Promerita, Adrian was a Vice President at the HSBC Group. He held senior leadership roles, both in retail and commercial banking, business and regional management in Metro Vancouver and in New York City. Adrian has a progressive philosophy to business as his success in banking was built on entrepreneurship and business innovation.
Geoff brings an exceptional background as an entrepreneur, senior finance professional and international corporate director to his role at Promerita where he is a senior member of both our Capital and Real Estate groups.
Geoff is one of the founders and Chairman of Creation Technologies, a global EMS manufacturing company and one of British Columbia’s largest technology companies.
